Article 01
PURPOSE OF THE COOPERATION PLAN
合作计划的目的
This Cooperation Plan aims to more effectively bring high-value live streaming content to the market by introducing celebrity and influencer resources, thereby continuously enhancing the live streaming ’s exposure, traffic acquisition, and conversion performance.
Through unified contracting, shared cost responsibilities, and clearly defined allocation rules, the Company seeks to establish a long-term, executable live-stream traffic generation mechanism. This mechanism is designed to support team development while empowering and nurturing qualified individual consultants and teams to fully leverage their respective strengths.

Article 02
CELEBRITY / INFLUENCER ENGAGEMENT AND CONTRACTING PARTIES

2.1 All liaison, evaluation, negotiation, and contracting with celebrities and influencers shall be carried out exclusively by the Company as the contracting entity.
2.2 The Company shall comprehensively assess the cooperation value of celebrities and influencers based on market alignment, live streaming performance, and brand risk considerations.
2.3 The contract duration for celebrity / influencer engagements shall be classified into the following four categories:
This will ensure long term brand value, association, education and conversion of fans into your team community.

Article 03
COOPERATION FEES AND COMPANY SUPPORT RATIO
合作费用与公司支持比例
3.1 For celebrity/influencer collaboration projects approved by the company, the company will cover 50% of the collaboration costs.
3.2 The remaining 50% of the costs shall be borne by the team/consultant applying for the collaboration.
3.3 The cost support described in this clause applies only to teams/consultants that meet the application requirements in Article 4 of this agreement.
Article 04
REQUIREMENTS FOR TEAMS APPLYING FOR COLLABORATION

Before applying for celebrity/influencer collaborations, a team must meet at least one of the following conditions:
Completed "1 LINE"
on [Hero’s Journey]
OR
Completed "2 LINE"
on [Hero’s Actions]
*For those who do not meet the above conditions, the company reserves the right to decide whether to consider their collaboration application.
*During the Application - Selection of Celebrity/Influencer
- Why you select this artiste?
- Why you are confident in leading and managing this artiste under your team?
- What are the ideas or strategies you propose to lead this artiste and their fans/followers?


Article 04
合作分配模式 (二选一)
COLLABORATION ALLOCATION MODEL (CHOOSE ONE OF TWO)
Option 1: 承包制 Contract System
(Exclusive purchase of traffic rights and team allocation rights during the collaboration period)
5.1 Applicable Conditions 适用条件
-
The collaboration period must be six (6) months or longer;
-
The consultant must meet the professional skills and qualification requirements set by the company;
-
The consultant may apply to the company for the company to cover 50% of the celebrity/influencer collaboration costs, with the remaining 50% borne by the consultant. Approval will only take effect after review and consent by the company.
5.2 Rights and Value Description 权益与价值说明
During the collaboration period, consultants under the Contract System are entitled to the following rights:
Traffic Acquisition Rights
During the collaboration period, the consultant shall have the rights to acquire traffic generated by the celebrity/influencer through livestreams.

Team Placement Ownership
During the collaboration period, the celebrity/influencer will be directly assigned to the consultant’s team.

Referral Ownership
During and after the collaboration period, any individuals referred by the celebrity/influencer in any form shall belong to the consultant’s team.
Placement Autonomy
During the collaboration period, consultants under the Contract System shall have the authority to independently decide on placement and team assignment for the traffic generated by the celebrity/influencer livestreams.

Option 2: 共享制 Shared System
(Team Sharing)
5.3 Applicable Method
-
Multiple consultants within the same team jointly share the celebrity/influencer collaboration costs;
-
The company will still cover 50% of the total costs, and the remaining 50% will be equally shared among the participating consultants.
5.4 Example
If four consultants, A, B, C, and D, jointly participate in an eight (8) month collaboration:
-
Each consultant is entitled to two (2) months of livestream rights;
-
For any given livestream, the consultant in charge of that session will receive all direct referral commissions generated from that livestream.
5.5 Placement Rules
-
Since collaboration rights are shared equally, the celebrity/influencer’s placement is not determined by any single consultant;
-
All referred individuals will be assigned to the main team organization to ensure fairness within the team.

Article 06
COMPANY (NM) MECHANISM
6.1 For any celebrity/influencer collaboration where the company covers 50% of the costs:
-
The company will receive 10% from the team’s NM income.
-
This 10% will be accounted at the end of every calendar month.
-
This deduction is considered a reasonable return for the company’s contributions in resource introduction, contract management, platform support, and brand risk assumption.


Article 07
TEAM HANDLES CELEBRITY / INFLUENCER COORDINATION INDEPENDENTLY
Scenario1:
Team Fully Self-Funded 团队全额自费
7.1 If the team independently coordinates with a celebrity/influencer and bears 100% of the collaboration costs:
-
Placement and traffic ownership shall be decided by the team;
-
The team will enjoy the Contract System rights (exclusive purchase of traffic and team allocation rights during the collaboration period);
-
The company will not share any costs, nor will it deduct NM;
-
Regardless of whether the collaboration is with a team, consultant, or celebrity/influencer, it must meet the company’s review standards.
Scenario2:
Team Independently Coordinates and Applies for Company Funding 团队自行对接并申请公司出资
7.2 If the team independently coordinates with a celebrity/influencer and applies for the company to cover 50% of the costs:

The team must comply with all conditions set forth in Articles 3, 4, 5, and 6 of this agreement.

Article 08
FINAL PROVISIONS
8.1 This policy is based on the principles of shared costs, clear rights, and fair distribution.
8.2 The company reserves the final right of interpretation of the terms of this agreement.
8.3 For matters not covered herein, both parties may agree separately through a supplementary agreement.
