DEFINITION 

BSM Business System Materials:

means training, literature, or digital resources provided or approved by the Company to support Affiliate activities.

Affiliate: 

means an independent contractor authorized by the Company to market products professionally under this Agreement.

Products: 

All goods and services offered by the Company including and not limited to publications, courses, consultation and solutions. 

Territory: 

means the geographic region authorized for the affiliate’s sales and promotional activities if applicable. 

Customer or Client: 

Any individual or entity who purchases products or services from the Affiliate or through the Company’s official channels.

Username:

•Please set the username of your favorite preferred individual name or company name + suitable numbers combinations.

•Only Alphabets + Numbers: 8 – 13 digits*

•Username will be used frequently every time you login

Member ID:

•Autogenerated ID with Country code + 13 digit numbers.

Placement ID:

•This ID is the location in the database of the specific organization.

Referral ID:

•Please check and ensure the ID is of the introducer who introduce you to the business.

Full Name:

•Please ensure full name is as per registered country identity and the same name as per bank account details.

Email Address:

•Please ensure this is your personal email address that is used privately and frequently

Mailing Address:

•Please ensure the mailing address is verified correct and convenient to collect delivery.

Login Password 

•This password is required when logging into the affiliate portal.

•Password requirements: Numbers + Symbols + upper case alphabet + lower case alphabet 

•Minimum 8 digit 

Transaction Password 

•This password is required for every important transaction in the portal.

• 6 Digit Numbers only

Status:

•Every Affiliate will enjoy commission, incentives and privileges based on the status.

• The Status will be upgraded based on the results generated and achievements of the affiliate

Package:

•The special promotion of products and services that the affiliate can market. Please refer to website for all latest updated products, services and pricing. 

Affiliate Portal: 31419M

•This portal allows every affiliate to be able to learn, monitor, track and expand the business internationally. Please check for all latest news and updates in the portal frequently.

GV : GROUP VOLUME

•All rewards are calculated based on GV

•TGV : Total Group Volume that is generated by you and your organization

•PGV: Personal Group Volume are sales that are generated personally from that specific affiliate.

Marketing Plan

• Commission, bonus, benefits and incentives that is provided for all active affiliates

Incentive Program

Additional incentives that is rewarded to affiliates on top of the official marketing plan. 

e.g. Heros Action edition, Heros journey

Calculation of Commission | Bonus:

•DM  | DM+ is calculated real time

•NM | LM is calculated daily 130am  (Singapore Timing GMT + 8)

•SM | M+ | MS are calculated Monthly

BC: Business Centre

•Every Package is entitled to 1 BC with two Sales Organization O13 and O14.

•Every BC according to the Status will enjoy different tier of bonus and incentives. 

Active BC

•Each BC in good standing to be eligible to earn bonus and market the business

•Each BC  to have at least 300 PGV per year to maintain active

•Different status will have respective roles and responsibilities to uphold.

Payment Mode: 

The mode of payment that the Affiliate pay for the products: 

Example: by cash, by bank transfer, by credit card.

Payment Date:

The date which you made payment to the Company for products. 

Registration Date:

The date which your BC is registered in the portal. 

Time Zone: 

Based on Singapore Timing GMT +8​​

  • Continuously develop your skills in analysis and introduction of Number Phenomena 

  • Ensure all communication, both online and offline, is clear, accurate, and polished.

RULES OF CONDUCT:

A. Compliance with Laws

  1. Comply with all applicable national laws, regulations, and business licensing requirements.

  2. Ensure all business activities, promotions, and transactions are lawful and ethical.

B. Ethical Conduct

  1. Conduct business with honesty, integrity, and professionalism.

  2. Avoid any deceptive, misleading, or fraudulent statements regarding products, compensation, or business opportunities.

  3. Refrain from making claims not supported by official Company materials or approved literature.

  4. Treat all customers, prospects, and fellow affiliates with respect and fairness.

C. Respect for Others

  1. Do not intentionally target or solicit another Affiliate’s customers or teams

  2. Maintain highest respect, honor and professionalism when interacting with other affiliates, customers, or the public.

  3. Avoid spreading rumors, negative comments, or false information about competitors or fellow affiliates.

D. Marketing & Promotion

  1. Use only Company-approved marketing materials, logos, images, and promotional content.

  2. Obtain Company approval before launching any online, offline, or social media campaigns.

  3. Do not sell products or promote the business opportunity on unauthorized e-commerce platforms (e.g., Amazon, Lazada, Shopee ) unless explicitly allowed by the Company.

  4. Avoid using misleading headlines, exaggerated claims, or “get rich quick” messaging.

  5. Ensure product pricing, offers, and promotions comply with Company guidelines.

E. Sponsoring & Recruitment

  1. Recruit only within permitted territories or markets 

  2. Accurately represent the Company’s Products, Marketing Plan and business opportunity when sponsoring new affiliates.

  3. Refrain from pressuring, or misleading 

F. Confidentiality & Intellectual Property

  1. Protect and maintain the confidentiality of all Company information, including customer data, formulas, business strategies, and Marketing Plans.

  2. Do not disclose or share any confidential information with third parties without Company authorization.

  3. Respect all Company intellectual property, trademarks, copyrights, and branding; do not use them in any unauthorized manner.

G. Professionalism in Events & Communication

  1. Conduct yourself professionally during Company events, webinars, training sessions, and public appearances.

  2. Avoid offensive, inappropriate, or discriminatory behavior in all forms of communication.

  3. Do not participate in or promote activities that may damage the reputation of the Company, its products, or other affiliates.

H. Financial & Transactional Conduct

  1. Ensure all sales transactions, commissions, and reimbursements are accurate, honest, and compliant with Company policies.

  2. Avoid misrepresentation of financial benefits, earnings potential, or bonus structures.

  3. For transparency and compliance, all sales must be registered in the Affiliate Portal immediately. Any unrecorded sales are considered a violation of Company policy

I. Social Media & Online Conduct

  1. Represent the Company professionally on social media and digital platforms.

  2. Refer to Hero actions edition to uphold top standards and requirements. 

  3. Obtain prior approval for any online content that uses Company branding or proprietary materials.

MARKETING PLAN:

  • Affiliates will receive bonuses, commissions, or incentives according to the Company’s published Marketing Plan. 

  • Compensation is contingent upon compliance with all terms and code of ethics.

CONFIDENTIALITY

5.1. General Obligation

  • The Affiliate (or Student) shall maintain the strict confidentiality of all information disclosed or accessed in connection with their relationship with the Company.

  • Confidential information may be written, electronic, verbal, or visual in any form, and the Distributor shall not disclose, publish, copy, or otherwise use such information except as expressly authorized in writing by the Company.

5.2. Scope of Confidential Information

Confidential information includes, but is not limited to:

  • Business and Operational Information – Company strategies, business plans, sales reports, marketing strategies, and internal policies.

  • Customer and Affiliates Team Data – Personal information, contact details, purchase history

  • Educational & Training Content – All courses, workshops, seminars, webinars, recordings, slides, handouts, and related teaching materials developed by the Company.

  • Number Phenomena Methodology & Intellectual Property – Proprietary methods, frameworks, analysis techniques, calculations, or processes.

  • Software & Digital Platforms – Any tools, apps, portals, websites, or digital systems provided for managing sales, tracking, or delivering content.

  • Promotional & Marketing Materials – Scripts, templates, graphics, advertisements, and other materials created or approved by the Company.

  • Unpublished or Proprietary Materials – Any document, idea, or content not publicly available, including upcoming products, training programs, or business initiatives.

5.3. Restrictions

The Affiliate (Student) shall not, without prior written consent from the Company:

  • Reproduce, distribute, or transmit any Confidential Information to any third party.

  • Use Confidential Information for personal gain or to compete with the Company.

  • Share or disclose courses, methodologies, or proprietary teaching techniques with any unauthorized individual or organization.

  • Record, copy, or replicate Number Phenomena information, calculations, teaching materials, or course content for resale, training, or publication.

5.4. Permitted Use

  • The Distributor may use Confidential Information only to promote, sell, or deliver Company products and services in accordance with this Agreement and approved training programs.

  • Access to courses, methodologies, and teaching content is strictly for authorized business purposes and may not be used for independent training or external teaching without Company approval.

5.5. Duration

  • The confidentiality obligations under this Agreement shall survive indefinitely, even after termination or expiration of this Agreement.

5.6. Remedies

Any breach of confidentiality may result in:

  • Immediate suspension or termination of the Agreement.

  • Legal action to prevent unauthorized use or disclosure.

  • Recovery of damages or profits gained from the breach.

RENEWAL & TERMINATION:

6.1 Term and Renewal

  • This Agreement is valid for one (1) year from the Effective Date, unless otherwise stated.

  • The Agreement may renew automatically for successive one-year terms unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the current term.

  • Renewal is conditional upon compliance with all terms of this Agreement, including the Code of Ethics, Rules of Conduct, and minimum activity or sales requirements.

6.2 Termination by the Company

The Company may terminate this Agreement immediately upon written notice if the Affiliate:

  • Violates the Code of Ethics or Rules of Conduct, including any ethical, professional, or legal standards.

  • Misrepresents the products, services, including claims not supported by Company materials.

  • Fails to meet activity, sales, or engagement requirements specified by the Company.

  • Engages in fraud, illegal activity, or unethical conduct in connection with the Company’s products or business.

  • Breaches confidentiality or intellectual property obligations, including sharing courses, methodologies, or proprietary Number Phenomena content without authorization.

  • Acts in a manner that damages the reputation or interests of the Company, other Affiliates, or customers.

6.3 Termination by the Affiliate

  • The Affiliate may terminate this Agreement at any time by providing written notice to the Company.

  • Termination by the Affiliate does not absolve them from obligations incurred prior to termination.

6.4 Post-Termination Obligations

Upon termination or non-renewal of this Agreement, the Affiliate must:

  1. Immediately cease all use of Company trademarks, logos, marketing materials, training content, and confidential information.

  2. Return or destroy any Business Support Materials (BSM), course materials, or proprietary content provided by the Company.

  3. Stop representing themselves as an Affiliate of the Company in any form, including online, offline, or in-person communications.

  4. Comply with any outstanding obligations, including payment of any fees, reimbursement, or settlement of disputes.

6.5 Effect on Commissions and Bonuses

  • Any commissions or bonuses earned prior to termination will be paid according to the Company’s policies.

  • The Company reserves the right to withhold, adjust, or reclaim commissions if termination results from fraud, misconduct, or breach of this Agreement.

 

6.6 Survival

  • Obligations related to confidentiality, intellectual property, non-solicitation, and liability shall survive indefinitely beyond the termination or expiration of this Agreement.

GOVERNING LAWS & DISPUTE RESOLUTION

  • This Agreement is governed by the laws of Singapore.

  • Any dispute arising from this Agreement shall be resolved through mediation or arbitration before legal action.

AMENDMENT:

8.1 Right to Amend

  • The Company reserves the right to modify, update, or amend this Agreement, including its policies, procedures, Marketing Plan, or rules, at any time and at its sole discretion.

  • Amendments may include, but are not limited to, changes in business requirements, Code of Ethics, Rules of Conduct, or any operational policies.

8.2 Notice of Amendments

  • The Company will provide notice of any amendments via email, Affiliate Portal, or other official communication channels.

  • Such notice shall be deemed effective upon delivery or posting, even if the Affiliate does not directly acknowledge receipt.

8.3 Acceptance of Amendments

  • Continued participation in the Affiliate Program after the effective date of any amendment constitutes full acceptance and agreement to be bound by the updated terms.

  • Affiliates who do not agree to any amendment may terminate their participation in accordance with the Termination clause without penalty.

8.4 Binding Effect

  • All amendments, once effective, are legally binding and form an integral part of this Agreement.

  • Affiliates are responsible for reviewing and complying with updated terms, policies, and requirements.

8.5 Conflict and Precedence

  • In the event of any conflict between prior versions of this Agreement and the amended version, the amended version shall take precedence.
